These terms and conditions set out below apply to the Frieze 91 Membership offered by Frieze.  These terms and conditions are also subject to the Frieze Terms of Use which apply to the use of the Service, as well as the frieze magazine Terms and Conditions and the Privacy Policy.  By purchasing a Frieze 91 Membership you agree to be bound by and to comply with these terms and conditions as well as the Frieze Terms of Use, frieze magazine Terms and Conditions, Frieze Connect Terms and Conditions and the Privacy Policy.

1. Membership Benefits

a) General

A Frieze 91 Membership entitles you to receive some or all of the following benefits:

  1.  priority entry and invitation(s) to the Frieze Fair of your choice (if you have opted into a Select membership) or all Frieze Fairs (if you have opted into an All Access membership) and members-only preview hours;
  2. Invitation(s) to digital events and talks;
  3. complimentary entry to select cultural institutions;
  4. first look at Frieze Editions;
  5. access to Frieze Connect;
  6. members-only salon series access at No.9 Cork Street; and/or
  7. additional special events such as:
    1. curator-led tours or acclaimed institutional exhibitions;
    2. invitations to artists’ studio visits; workshops and lectures;
    3. weekend gallery walks and cultural city-breaks.

(points (i) – (vi) each a “Membership Event” and together the “Membership Events”);

  1. priority access to the Frieze Viewing Room;
  2. discounts on Frieze merchandise;
  3. unlimited access to all content on www.frieze.com, including exclusive premium content available only to Frieze Members (“Exclusive Member Content”);
  4. a monthly Frieze Members’ Newsletter;
  5. a frieze magazine subscription; and
  6. other exclusive offers from promotional partners, plus such other benefits as may be communicated by Frieze via frieze.com or otherwise in writing

(together, the “Frieze Membership Benefits”).

If you have opted into the Resident by Frieze & NeueHouse membership, you shall also be entitled to receive certain additional benefits, such as access to all NeueHouse locations in New York, Los Angeles and Miami, subject to any terms and conditions provided by NeueHouse. Any benefits offered in connection with the Resident by Frieze & NeueHouse membership shall be included in the definition of “Frieze Membership Benefits” for the purpose of these Terms and Conditions.

By purchasing this membership you shall also be subject to the frieze magazine Terms and Conditions.

Frieze reserves the right to reduce or modify the Frieze Membership Benefits at any time for any reason in its sole discretion without liability to you.

b) Special Terms and Conditions Related to Membership Events

Cancelled or Postponed Membership Events

The location, date and time of a Membership Event and any other elements of a purchase are subject to change by Frieze, the venue owner or other third party responsible for or otherwise involved the staging of a Membership Event or other elements of your Frieze 91 Membership, respectively, in each of their sole discretion, and no such change shall entitle you to a refund of any part of the Frieze 91 Membership fee or any other remedy in the event that you cannot attend for any reason due to such change.

Travel to Membership Events

Certain Membership Events may require you to make arrangements for domestic or international travel, accommodations, and/or other hospitality experiences (“Hospitality”).  You acknowledge and agree that you shall be solely and fully responsible for any and all fees, costs, and expenses incurred or committed to by you in connection with any such Hospitality, and you shall acquire the same at your own risk. Where applicable, a valid passport may be required for travel to and from a Membership Event. If a Membership Event is outside of your territory, please ensure that you have a valid passport prior to purchasing a Frieze 91 Membership as no refunds or exchanges will be provided for reasons relating to inability to travel for any reason.  There shall be no refunds or exchanges of any part of the Frieze 91 Membership for illness, emergencies or any other unexpected circumstances affecting your attendance at a Membership Event.

It is recommended that you consider purchasing travel insurance from a third-party. Unless specifically noted, travel insurance is not included in the cost of your Frieze 91 Membership purchase to protect against third party supplier default or bankruptcy, DELAY, INTERRUPTION, MISSED CONNECTION FOR CRUISES, CANCELLATION, MEDICAL EMERGENCY TRANSPORTATION/EVACUATION & REPATRIATION, BAGGAGE & PERSONAL EFFECTS/LOST LUGGAGE & BAGGAGE DELAY, ILLNESS, JOB LOSS PROTECTION AND CHANGE OF PLANS, ACCIDENTAL DEATH AND DISABILITY, TRAVEL ACCIDENT/SICKNESS MEDICAL EXPENSES, AND MORE. PROPER INSURANCE MAY PROTECT YOU FROM FINANCIAL LOSS IN ALMOST ALL CIRCUMSTANCES.

Without appropriate travel insurance, you understand and agree that if you cancel or interrupt your travel for any reason, no portion of your Frieze 91 Membership may be refunded. The purchase of travel insurance is not required in order to receive other products or services offered as part of the Frieze Membership Benefits.

Employees of Frieze are not qualified or authorized to: answer technical questions about benefits, exclusions, and conditions of any of the insurance offered, nor evaluate the adequacy of the prospective insured’s existing insurance coverage.

It is your responsibility to obtain and carry a valid passport, visa(s), and all other documents required by applicable government regulations or third-party policies when traveling. When traveling domestically or internationally, the U.S. Transportation Security Administration (TSA) and U.S. Department of Homeland Security (DHS) advise that everyone carry at least two forms of acceptable identification in order to board a flight.

When you receive any and all travel documents, it is your sole responsibility to review and verify all information. Contact Frieze immediately if changes or corrections are required. You are responsible to make absolutely certain to have the proper immunizations and required documentation of such immunizations before travel, and to make the necessary accommodation for security rules imposed by government authorities. Frieze shall not assume responsibility for the accuracy of health requirements or vaccination and/or documentation prior to departure or upon landing at the final destination. See your health practitioner for advice. Prior to travel, required inoculations, if any, must be recorded by your health practitioner on a valid vaccination certificate, which you must carry for proof of inoculation where required.

Travel to certain destinations may involve greater risk than others. Frieze urges members to remain informed on a daily basis as to current news events, as well as to review travel prohibitions, warnings, announcements and advisories issued by the relevant government authority prior to booking travel to international destinations.

BY OFFERING TRAVEL TO PARTICULAR DESTINATIONS, FRIEZE DOES NOT REPRESENT OR WARRANT THAT TRAVEL TO SUCH POINTS IS ADVISABLE OR WITHOUT RISK, AND SHALL NOT BE LIABLE FOR COSTS, DAMAGES, OR LOSSES THAT MAY RESULT FROM TRAVEL TO SUCH DESTINATIONS. MEMBERS’ PARTICIPATION CONSTITUTES ACCEPTANCE OF SUCH EVENTS AT MEMBERS’ OWN RISK.

Publicity Release

By attending a Membership Event, you hereby irrevocably grant to Frieze and its members, affiliates, designees, successors, assigns and licensees, the right to film and otherwise record you and use your name, image and likeness in any and all media for any purpose, including, without limitation, advertising and promotional purposes as well as in, on or in connection with other events produced by Frieze or any of Frieze’s affiliates and hereby release Frieze and each of their respective designees, successors, assigns, licensees and affiliates from any liability with respect thereto. Except as expressly authorized by Frieze or a third party authorized by Frieze, you may not film, photograph, broadcast, stream, publish, transmit, and/or otherwise offer to the public (or assist any third party in offering to the public), on a live or on a delayed basis, in whole or in part, and whether on a free basis or subject to payment, any sound recording, photograph, video footage, motion picture, film, and/or other audio and/or visual content captured by any means whatsoever in or around the Membership Event site or while engaging in a digital experience on a Frieze platform or third party platform.

Third-party aspects of the Membership Events

In connection with any of the Membership Events, Frieze might display information about travel locations, tours, services, packages, transportation, hotel accommodations, currency, schedules, various forms of entertainment and many other things and amenities. Much of this information is supplied to Frieze by third parties (e.g., hotels, resorts, transportation companies, artists, concessionaries) and Frieze cannot check the accuracy of such information. Some of the goods and/or services which make up your Frieze 91 Membership in connection with a Membership Event are provided by third parties in accordance with their own terms and conditions which may limit or exclude such third party’s liability to you.

You understand that any violation of any third party’s terms and conditions may result in cancellation of your Frieze 91 Membership, in your being denied access to the applicable aspect of any Membership Event, in your forfeiting monies paid as part of your Frieze 91 Membership for such amenity, and/or in our debiting your account for any costs we incur as a result of such violation.

You agree that Frieze is in no way responsible for the accuracy, timeliness or completeness of information Frieze may obtain from third parties. Your interaction with any third party is at your own risk, and Frieze will have no liability with respect to the acts, omissions, errors, representations, warranties, breaches or negligence of any such third party or for any personal injuries, death, property damage, or other damages or expenses resulting from your interactions with any third party.

You may be relocated to an alternative room in the sole discretion of a hotel, lodging provider or Frieze and no such relocation shall entitle you to a refund, make-good or other remedy from Frieze if you are relocated.  All of your interactions with any third party shall be governed solely and exclusively by the terms and conditions set forth by that third party in connection with that interaction.  You are solely responsible for confirming and adhering to any and all third-party terms and conditions in connection with your Frieze 91 Membership. 

IF APPLICABLE, HOTEL/LODGING/RESORT INFORMATION PROVIDED BY FRIEZE (INCLUDING, WITHOUT LIMITATION, RATINGS, PHOTOGRAPHS, LIST OF HOTEL/LODGING/RESORT AMENITIES, AND DESCRIPTIONS OF PROPERTY AND ROOMS) ARE PROVIDED BY THE RESPECTIVE SUPPLIERS AND SERVICE PROVIDERS. THIS HOTEL/LODGING/RESORT INFORMATION ARE GENERAL GUIDELINES AND FRIEZE CANNOT GUARANTEE THEIR ACCURACY. THEY ARE TO BE USED AS A GENERAL GUIDE AND THE RATINGS AND HOTEL/LODGING/RESORT INFORMATION MAY BE AMENDED PERIODICALLY BY THE RESPECTIVE SUPPLIERS TO KEEP CURRENT.

2. Contract formation, usernames and passwords

You can submit an application for a Frieze 91 Membership online at frieze.com.  Applications will be considered on a rolling basis.  Completion of an application does not guarantee acceptance.  You will be notified of your application status within ten (10) business days of your submission thereof.  Notification will occur via email, telephone, and/or mail at the information provided by you with your application.  You must complete your registration and applicable payment within fifteen (15) business days of Frieze’s delivery of notification of your acceptance into the Frieze 91 program in order for your Frieze 91 Membership to be considered active.

3. Membership period and automatic renewals

If you submit a successful application for a Frieze 91 Membership on or prior to August 31, 2021, your membership will commence immediately following the acceptance of your application and successful completion of your registration (including purchase), and the membership contract will continue until September 30, 2022, at which point, it will continue and renew automatically on an annual basis unless and until it is ended in accordance with Paragraph 6 (Cancellations and refunds).

If you submit a successful application for a Frieze 91 Membership on or after September 1, 2021, your Frieze 91 Membership will commence immediately following the acceptance of your application and successful completion of your registration (including purchase), and the membership contract will continue and renew automatically on an annual basis unless and until it is ended by either of us in accordance with paragraph 6 (Cancellations and refunds).

The period between the commencement of your membership and the first automatic renewal date, and any individual period(s) between subsequent automatic contract renewal date(s) occurring thereafter, shall each be referred to as the Membership Year.   

4. Payment

You agree to pay the membership price for the annual membership, which is the price as advertised on the Service at the time of purchase.  The price is inclusive of all applicable sales taxes, unless stated otherwise. 

Any special offer or discount offered may be withdrawn or changed without notice.

You will be charged for your membership fully in advance or on a monthly basis, in accordance with the terms selected by you at the time of your application.  

In order to purchase an annual membership, you may be required to provide complete and accurate personal information, including, without limitation, your name, address, telephone number, email address, credit card information, and billing address.  Our Privacy Policy explains how such information is collected and may be used by us.  Your ability to purchase an annual membership is subject to limits established by your credit card issuer.  You must notify us immediately of any change in your credit card information, including any change to your home address. By using a credit or debit card to purchase membership, you authorize us to charge such card on an annual basis as specified in the amount described herein (or as otherwise notified by us).  You represent and warrant that you are an authorized use of the credit or debit card used to enter into any transaction with Frieze hereunder.

Some banks and credit card companies impose fees for international transactions. If you are making a booking from outside of the United Kingdom on a UK credit or debit card, your bank may convert the payment amount to your local currency and charge you a conversion fee.

5. Membership changes

Frieze reserves the right to withdraw or change any membership and/or price at any time for any reason.

Frieze reserves the right to change the Frieze 91 Membership (including but not limited to its features, content, benefits or any other services related to Frieze 91 Membership) without notice or liability to you in order to improve the quality of the Frieze Membership offered to you or to comply with any relevant laws, regulations or Frieze policies.

We reserve the right to change the membership price at any time.  If we change any material terms of the membership and/or the membership price we will inform you with at least 30 days’ notice (or such other length of notice as is required by law) so that you can choose whether or not to continue your membership.  Should you choose to cancel, your membership will continue until the end of your Membership Term (including access to all benefits as well as all payment obligations) , and following expiration of the Membership Term you will not be billed again.  We will inform you of any changes by sending an e-mail message to your e-mail address on file with us and by publishing such notices from time to time on the Service. It is your responsibility to notify us of any change in your e-mail address by emailing us at Frieze91@frieze.com. For clarity, no refunds will be processed in the event of cancellation pursuant to this paragraph under any circumstances.

6. Cancellations and refunds

Right to cancel during cooling off period

You have a legal right (as set out in the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013) to cancel your membership within 14 days from the day you receive email confirmation from us that your membership contract is confirmed as described in paragraph 2 (Contract formation, username and passwords). 

You expressly agree that we may begin supply of the Exclusive Member Content as part of your Frieze 91 Membership before the end of the 14-day cancellation period referred to in the previous paragraph. You also acknowledge that your legal right to cancel your membership contract as described in the previous paragraph will be lost when you enter your username and password because, at that point, we will have begun the supply of the Exclusive Member Content to you as part of your Frieze 91 Membership.

If you wish to exercise your legal right to cancel during such period, you should complete the relevant steps for cancellation as set out on frieze.com.  Once you have confirmed your cancellation details, you will receive a confirmation email to let you know that this has been successfully processed.  We will make the applicable refund of any fees paid not later than 14 days after the day on which we are informed about your decision to cancel your membership contract. We will make the refund using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise, in any event, you will not incur any fees as a result of the refund.

Frieze’s right to cancel

We may cancel your membership immediately at our sole discretion if you fail to make payment when due or are in breach of any of your obligations under the Terms of Use (including these Terms and Conditions).  

Your right to cancel

You may terminate your Frieze 91 Membership at any time and for any reason before the expiration of your current Membership Term by completing the relevant steps for cancellation as set out by Frieze.  Once you have confirmed your cancellation details, you will receive a confirmation email to let you know that this has been successfully processed. Upon cancellation by you pursuant to these terms, your Frieze 91 Membership (including access to all benefits as well as all payment obligations) will continue for the remainder of your current Membership Term. Upon conclusion of the current Membership Term, you will not be billed again.  You must cancel your Frieze 91 Membership before it automatically renews in order to avoid being billed for the next Membership Term.  For clarity, no refunds will be processed in the event of cancellation pursuant to this paragraph under any circumstances.

7.  General Terms

Entire Agreement

These Frieze 91 Membership Terms and Conditions, together with the Frieze Terms of Use and frieze magazine Terms and Conditions, constitute the entire agreement between you and Frieze with respect to the subject matters herein, and cancel and supersede any prior versions of the Terms.  No modifications made by you to these Terms will be binding on Frieze unless in writing and signed by an authorized Frieze representative.  Frieze reserves the right to terminate and/or change these Terms at any time in its sole discretion with or without notice (as permitted or required by law).  You shall not assign or otherwise transfer these Terms and Conditions or any right granted hereunder.  You also may be subject to additional terms and conditions that may apply when you use the Membership or third-party products or services.

Representations and Warranties

Without limiting anything set forth in these Terms and Conditions, you, for yourself and on behalf of your Guest(s) (if and as applicable), hereby represent and warrant that: (a) you will not violate any applicable laws, ordinances and/or regulations at or in connection with your Membership (including without limitation your attendance at a Membership Event and/or activities corresponding to your transactions with Frieze); (b) you will not engage in any conduct that is, in Frieze’s or any third party’s discretion, disorderly, annoying, illegal, vulgar, abusive, threatening, uncomfortable, aggressive, or out of compliance with these Terms and Conditions or any applicable third party terms, conditions, rules, or policies (collectively, “Removal Conduct”) throughout your enjoyment of your Membership (including, without limitation, your attendance at any Membership Event); (c) you are of sufficient legal age and authority to enter into any transaction with Frieze in connection with this Membership, to attend a Membership Event, and to create legal binding obligations for any liability you may incur as a result of entering into these Terms and Conditions; (d) you are an authorized user of the credit or debit card used enter into any transaction with Frieze; (e) you shall at all times be incompliance with any and all terms, conditions, policies and rules set forth by Frieze and/or any applicable third party; (f) you have obtained any and all passports, visas, health information and/or other permission necessary in connection with your transaction with Frieze; and (g) you will not attempt to charge back your purchase of a Frieze 91 Membership with your bank or credit card company.

Force Majeure

If Frieze determines, in its sole discretion, that any of the Membership Events or other Membership Benefits cannot be delivered or must be cancelled, delayed, or postponed (either prior to or after commencement) due to an Event of Force Majeure which is impacting or may reasonably be anticipated to impact such Event or Benefit (including any planning related thereto(, Frieze will be released from its obligations in relation to the Event and shall have no liability or obligation to any Frieze 91 Member in connection therewith.  For clarity, as a Frieze 91 Member, you shall not be entitled to any make-good or remuneration in connection with any Membership Events or other Membership Benefits not performed as a result of an Event of Force Majeure, and Frieze shall have no liability or responsibility in connection with any sums (including without limitation fees, costs and expenses) incurred or committed to by you in connection with your enjoyment of such cancelled Event or Benefit, including, without limitation, any sums incurred or committed to by you in connection with any third parties. If Frieze confirms that any of the Events or Benefits are postponed and shall be rescheduled, you may choose to attend or enjoy such rescheduled Event/Benefit at your own discretion and Frieze shall not be responsible for any additional costs incurred by you as a result thereof.

“Event of Force Majeure” means any law, regulation or order, act of God, earthquake, heavy rain leading to flooding fire, disease, epidemic or pandemic (including without limitation H1N1 swine flu, H1N5 bird flu, coronavirus or other similar virus), accident, explosion, casualty, labour controversy (including but not limited to threatened or actual lockout, boycott or strike), government decision or decree or a decision by any other relevant authority (including without limitation any sports federation or events rights holder) , riot, civil disturbance, war or armed conflict, terrorist act or threat of terrorism, delay of a common carrier; or any other event or events beyond the reasonable control of Frieze. 

Assumption of Risk

You fully understand, acknowledge, and agree that you and/or your Guest(s) may be exposed to certain communicable illnesses and diseases including, without limitation, COVID-19 (collectively, the “Illnesses”), in connection with your Membership and its related activities (including any Membership Event), which may lead to contraction of Illness(es) or becoming a carrier of Illness(es) which may lead to damage to your health and/or that of others, including, but not limited to, physical and mental health injuries (including death), economic loss or hardship, and/or other lost opportunities (including economic, reputational, or otherwise).  You represent and warrant that you and your Guest(s) will participate in your Membership and/or attend any Membership Event or other related activities voluntarily, that you and your Guest(s) have knowingly evaluated and are fully aware of, and hereby accept and assume, the risk of exposure to the Illness(es) in connection with the Membership (including any Membership Event).  The foregoing is not an exhaustive list of the risks and dangers you and/or your Guest(s) may be exposed to as a result of participation in the Membership (including any Membership Event), and you, for yourself and on behalf of your Guest(s), voluntarily and freely accept and assume these and all other such risks and dangers (whether known or unknown) you and/or your Guest(s) may encounter or be exposed to in connection with your Membership (including any Membership Event).

In full knowledge and complete assumption of all of the risks, you, for yourself and on behalf your related individuals or associated entities (including, without limitation, any of your Guest(s) (hereinafter defined), if and as applicable) (collectively, the “Releasing Parties”), hereby irrevocably agree that the Releasing Parties will not sue or claim against Frieze or any of Frieze’s employees, contractors, agents, officers or representatives (collectively “Frieze Parties”) for any injury (including death or disability), illness, damage, loss or harm to any Releasing Party resulting or arising out of or in any way related to your or your guests preparation for, travel for, or participation in the Membership, including your attendance and appearance at any Membership Event. Frieze reserves the right to require additional documentation or other measures (including, without limitation, signed waivers) of you or your Guest(s) in connection with this release or any future Illnesses or associated harms, whether known or unknown, at any time during the Membership and as a condition of any benefits provided for herein. Non-performance by Frieze of any Membership Benefits provided for herein due to your and/or your Guest(s)’s failure to provide such additional documentation or other measures shall not be considered a breach by Frieze hereunder, and you shall not be entitled to any remuneration or compensation in connection therewith.

Indemnification

You agree to defend, indemnify, and hold harmless Frieze, and its parents, subsidiary, and affiliate entities, and each of their respective officers, agents, directors, representatives, contractors, employees, sponsors, and other personnel (collectively, the “Indemnified Parties” from and against any and all liabilities, claims, damages, costs, and expenses (including attorneys’ fees) arising out of or otherwise related to: (a) your transaction with Frieze and/or your use of any website, platform, or other facility provided by or in connection with the Membership; (b) your violation or breach, or alleged violation or breach, of these Terms and Conditions, including, without limitation, all representations, warranties, terms, conditions, covenants, acknowledgements, and agreements herein; (c) your participation in the Membership or attendance at or in connection with any Membership Event(s), including, without limitation, any Removal Conduct or other acts or omissions by you; and (d) your Guests (hereinafter defined).

Information Sharing

Without limiting anything set forth herein, by accepting a Membership, you acknowledge and agree that your Membership is subject to the terms and conditions set forth in the Privacy Policy and the privacy policies of any third-parties and you hereby agree to be bound by the same. Without limiting anything set forth in the Privacy Policy, you acknowledge and agree the Frieze may collect and share your personally identifiable information (including, without limitation, your name, address and email address) with its parent, subsidiary, member and other affiliated companies and with other third parties (e.g., partners and sponsors) in connection with the operation of our and/or their business. Examples of purposes for which we may collect and share such information include:

  1. payment processing and authorization,
  2. fraud protection and credit risk reduction,
  3. product and service customization,
  4. order fulfillment,
  5. shipping,
  6. marketing and promotional material distribution for various events,
  7. website evaluation,
  8. data collection, storage, management, and analysis,
  9. internet-based, targeted and/or online behavioral advertising,
  10. Frieze’s and its affiliates’ partners and clients (e.g., IMG; Endeavor), and/or
  11. any other services designed to assist us and/or our affiliates in maximizing our and/or their business potential and profits.

Governing Law

Unless contrary to applicable law in your jurisdiction:

If the address you provide in your Frieze 91 Membership application is located anywhere in the world other than the European Union, the United Kingdom, or any other country in Europe, New York law and controlling US federal law govern any action related to these terms and/or your use of the Service and/or the Frieze Membership.  Choice of law rules of any jurisdiction and the United Nations Convention on Contracts for the International Sale of Goods will not apply to any dispute under these Terms.  You and Frieze agree to submit to the personal and exclusive jurisdiction of the courts located within the county of New York, New York, USA.

If the address you provide in your Frieze 91 Membership application is located in the European Union, the United Kingdom, or any other country in Europe, the laws of England and Wales shall govern any action related to these terms and/or your use of the Service and/or the Frieze Membership.  Choice of law rules of any jurisdiction and the United Nations Convention on Contracts for the International Sale of Goods will not apply to any dispute under these Terms.  You and Frieze agree to submit to the exclusive jurisdiction of the courts of England and Wales.

Survival

The rights and obligations under these Terms which by their nature should survive will remain in full effect after termination or expiration of these Terms.

Waiver; Severability

Any express waiver or failure to exercise promptly any right under these Terms will not create a continuing waiver or any expectation of non-enforcement. If any provision of these Terms is held invalid by any law or regulation of any government, or by any court or arbitrator, you and Frieze agree that such provision will be replaced with a new provision that accomplishes the original business purpose, and the other provisions of these Terms will remain in full force and effect.

Conflict

In the event of a conflict between these Terms and any other agreements between you and Frieze shall determine in its discretion which terms shall govern.

Translation

This English language version of these Terms governs your relationship with Frieze and any translations of the Terms into another language shall not be binding on Frieze.

Guest Policy

If your Frieze 91 Membership includes the option to extend any of your applicable Membership Benefits to a guest or other third party (“Guest”), you hereby acknowledge and agree that, as the Frieze 91 Member on record, you shall be solely and fully liable for any and all actions and activities of your Guest in connection with their enjoyment of the applicable Membership Benefit(s), including, without limitation, any of their negligence or misconduct, any damage or injury caused by them or otherwise arising out of or related to their actions, and any breach of or non-compliance with any terms and conditions set forth by Frieze on their part. It is your sole responsibility to advise your Guest of any terms which may govern their enjoyment of such Membership Benefits, including, without limitation, these Terms and Conditions. For clarity, the option to extend your Membership Benefits provided for under your Frieze 91 Membership shall apply only to those select Membership Benefits that Frieze has expressly and affirmatively indicated are able to be extended, and your extension of any applicable Membership Benefits shall be subject to your compliance with any and all terms set forth by Frieze in connection therewith.

Frieze가 제공하는 Frieze 91 멤버십에는 아래에 명시된 이용 약관이 적용됩니다.   본 멤버십 약관에는 서비스 이용 시 적용되는 Frieze 이용 약관과 frieze 매거진 이용 약관 및 개인정보 보호정책 역시 적용됩니다.   Frieze 91 멤버십을 구매함으로써, 귀하는 Frieze 이용 약관, frieze 매거진 이용 약관, Frieze Connect 이용 약관 및 개인정보 보호정책뿐만 아니라 본 이용 약관을 준수하는 데 동의하게 됩니다. 

1. 멤버십 혜택 

a) 일반 

Frieze 91 멤버십 회원에게는 다음 혜택 중 일부 또는 전부에 대한 자격이 부여됩니다.

귀하가 이 멤버십을 구매하실 경우 frieze 매거진 이용 약관도 함께 적용됩니다. 

 

Frieze는 전적인 자체 재량에 따라 귀하에 대한 책임부담 없이 언제든지 어떠한 이유로든 Frieze 멤버십 혜택을 축소하거나 수정할 수 있는 권리를 보유합니다. 

b) 멤버십 이벤트 관련 특별 이용 약관 

멤버십 이벤트의 취소 또는 연기 

멤버십 이벤트의 위치, 날짜 및 시간을 비롯한 구매 관련 요소는 Frieze, 해당 장소 소유자, 또는 멤버십 이벤트나 기타 Frieze 91 멤버십 관련 행사를 주최하거나 그 개최에 참여하는 기타 제3자 각각의 전적인 자체 재량에 의해 변경될 수 있습니다. 또한 귀하가 그러한 변경으로 인해 어떤 이유로든 멤버십 이벤트에 참석할 수 없게 된 경우에도, 이를 이유로 Frieze 91 멤버십 요금에 대한 환불이나 기타 구제책을 요구할 수 없습니다. 

멤버십 이벤트 참석 

특정 멤버십 이벤트의 경우 참석을 위해서는 국내 또는 국제 여행, 숙박 및/또는 기타 접객 관련 상품(“접객 상품”)의 예약이 필요할 수도 있습니다.  귀하는 그러한 일체의 접객 상품과 관련하여 귀하가 이미 부담했거나 지출한 모든 요금, 비용 및 경비는 전적으로 본인의 책임이라는 점, 그리고 이와 관련한 위험은 본인이 감수해야 한다는 점을 인정하고 이에 동의합니다. 해당되는 경우, 멤버십 이벤트 참석 및 귀국을 위한 여행 시 유효한 여권이 필요할 수도 있습니다. 어떤 이유로든 여행이 어려운 상황은 환불이나 교환 사유로 인정되지 않으므로, 멤버십 이벤트가 귀하의 거주 국가 밖에서 열리는 경우라면 Frieze 91 멤버십을 구매하기 전에 본인에게 유효한 여권이 있는지 여부를 먼저 확인하시기 바랍니다.  귀하의 멤버십 이벤트 참석 유무에 영향을 미치는 질병, 응급상황 또는 기타 예상치 못한 상황을 이유로는 Frieze 91 멤버십의 일부나 전체에 대한 환불 또는 교환이 제공되지 않습니다. 

당사는 별도의 타사 여행자 보험에 가입하시는 것을 권장합니다. 특별히 명시되지 않는 한, 제3자 공급업체의 채무불이행 또는 파산, 서비스 지연 및 중단, 크루즈선 미탑승, 예약취소, 응급 후송/대피 및 본국송환, 수하물 및 개인휴대품 분실 및 지연 사고, 질병, 실직자 보호 및 연금 변동, 사망 및 장애 사고, 여행자 사고/질병 관련 의료비 등을 보장하는 여행자 보험료는 Frieze 91 멤버십 구매 비용에 포함되어 있지 않습니다. 적절한 보험에 가입하면 거의 모든 상황과 관련한 재정적 손실을 피할 수 있습니다. 

귀하는 적절한 여행자 보험에 가입하지 않은 상태에서 어떤 이유로든 여행이 취소 또는 중단될 경우 Frieze 91 멤버십의 부분 또는 전체 환불이 불가함을 이해하고 이에 동의합니다. Frieze 멤버십 혜택의 일부로 제공되는 다른 제품이나 서비스의 이용 시에는 여행자 보험 가입이 필요 없습니다. 

Frieze의 직원은 일체의 보험이 제공하는 혜택, 예외조항 및 조건과 관련한 기술적인 질문에 답변하거나 잠재적 피보험자의 기존 보험과 관련한 보장 범위의 충분성을 평가할 수 있는 자격이나 권한이 없습니다.   

유효한 여권과 비자(들), 그리고 여행 시 해당 정부 규정이나 제3자 정책이 요구하는 기타 모든 문서를 취득하고 휴대하는 것은 귀하의 책임입니다. 국내 또는 국제 여행 시, 미국 교통안전청(Transportation Security Administration, TSA) 및 미국 국토안보부(Department of Homeland Security, DHS)는 비행기에 탑승하려는 모든 여행객을 대상으로, 유효한 신분증을 최소한 두 가지 소지할 것을 권고합니다. 

일체의 여행 관련 서류를 받았을 때 모든 정보를 검토하고 확인하는 것은 전적으로 귀하의 책임입니다. 관련한 변경 또는 수정이 필요한 경우 즉시 Frieze에 문의하십시오. 귀하는 여행 전에 필수 예방접종을 완료하고 예방접종 증명서를 반드시 지참하며 정부 당국에서 부과하는 방역 지침에 따라 필요한 숙박시설을 예약할 책임이 있습니다. Frieze는 출발 전 또는 최종 목적지 착륙 시점에 필요한 건강 요건이나 백신접종 요건 및/또는 서류 요건의 정확성에 대해서는 책임을 지지 않습니다. 이와 관련한 조언을 얻으려면 담당 의료진에게 문의하십시오. 필수 예방 접종이 있는 경우, 여행 전에 귀하를 담당하는 의료종사자를 통해 접종 사실을 유효한 예방접종 증명서에 기록하여야 하며, 귀하는 해당 증명서를 요구 시 제시하여 접종 사실을 인증할 수 있도록 항상 휴대해야 합니다. 

특정 목적지로의 여행은 다른 경우보다 더 큰 위험을 수반할 수 있습니다. Frieze는 전 회원을 대상으로 해외 목적지로의 여행편을 예약하기 전에 관련한 최신 뉴스를 매일 확인하고 해당 정부 당국에서 발행한 여행금지, 경고, 발표 및 권고를 검토할 것을 당부하고 있습니다. 

FRIEZE는 특정 목적지로의 여행을 제안함으로써 그러한 곳으로의 여행이 권장되거나 위험 요소가 없음을 진술 또는 보증하지 않으며, 그러한 목적지로의 여행으로 인해 발생할 수 있는 비용, 손해 또는 손실에 대해서는 책임을 지지 않습니다. 회원의 이벤트 참여는 본인의 책임하에 해당 이벤트를 진행한다는 것에 대한 수락에 해당합니다. 

퍼블리시티권 사용동의 

멤버십 이벤트에 참석함으로써, 귀하는 촬영 등의 방식으로 귀하를 녹취할 수 있는 권리와 일체의 미디어에서 귀하의 이름, 이미지 및 초상을 광고 및 판촉 용도, 그리고 Frieze 계열사가 제작한 기타 이벤트에서 또는 이와 관련하여 활용하려는 용도를 포함하나 이에 국한되지 않는 어떤 목적으로든 사용할 수 있는 취소 불가한 권한을 Frieze와 그 회원, 계열사, 피지명인, 승계인, 양수인 및 라이선스 실시권자에게 부여합니다. 또한 이로써 귀하는 Frieze 및 각각의 해당 피지명인, 승계인, 양수인, 라이선스 실시권자 및 계열사를 그와 관련한 모든 책임으로부터 면제합니다. Frieze 또는 Frieze가 승인한 제3자가 명시적으로 승인한 경우를 제외하고, 귀하는 멤버십 이벤트 장소나 그 주변에서 또는 Frieze 플랫폼이나 제3자 플랫폼에서의 디지털 경험에 참여하는 동안 그 방법을 불문하고 제작된 일체의 녹음본, 사진, 영상 촬영본, 영화, 필름 및/또는 기타 청각적 및/또는 시각적 콘텐츠의 전체 또는 일부를 실시간 또는 지연 제공 방식으로 촬영, 사진 촬영, 방송, 스트리밍, 출판, 전송 및/또는 기타 형식으로 대중에게 무료 또는 유료로 제공(또는 제3자가 대중에게 이를 제공하도록 지원)할 수 없습니다. 

멤버십 이벤트의 제3자 관련 요소 

Frieze는 멤버십 이벤트와 관련하여 여행지, 관광, 서비스, 패키지, 교통 수단, 호텔 숙박, 통화, 일정, 다양한 형태의 오락을 비롯한 여러 요소와 편의시설에 대한 정보를 표시할 수 있습니다. 이러한 정보의 대부분은 제3자(예: 호텔, 리조트, 교통기관, 예술가, 할인판매점)로부터 Frieze에 제공 받은 것으로서, Frieze는 이러한 정보의 정확성을 확인할 수 없습니다. 멤버십 이벤트와 관련하여 귀하의 Frieze 91 멤버십을 구성하는 일부 상품 및/또는 서비스는 제3자들이 자체적 이용 약관에 따라 제공하는 것으로서, 이러한 이용 약관은 귀하에 대한 해당 제3자의 책임을 제한하거나 배제할 수 있습니다. 

귀하는 일체의 제3자 이용 약관을 위반할 경우 귀하의 Frieze 91 멤버십이 취소되거나, 각종 멤버십 이벤트의 해당 요소에 대한 이용이 거부되거나, 그러한 편의를 위해 지불된 Frieze 91 멤버십 금액의 일부가 몰수 및/또는 그러한 위반의 결과로서 당사에 발생된 모든 비용이 귀하의 계정에서 차감될 수 있음을 이해합니다. 

귀하는 Frieze가 제3자로부터 얻게 되는 정보의 정확성, 적시성 또는 완전성과 관련하여 Frieze는 어떠한 책임도 지지 않는다는 데 동의합니다. 귀하와 제3자 간의 상호작용에 따른 위험은 귀하가 감수하여야 하며, Frieze에게는 그러한 일체의 제3자의 행위, 부작위, 오류, 진술, 보증, 위반 또는 과실과 관련한 법적 책임, 또는 귀하와 제3자 간의 상호작용으로 인해 발생하는 개인 상해, 사망, 재산 피해나 기타 손해 또는 비용에 대한 법적 책임이 없습니다. 

귀하는 호텔, 숙박업체 또는 Frieze의 전적인 재량에 따라 다른 객실로 재배치될 수 있으며, 만약 귀하가 재배치된 경우 이는 Frieze로부터의 환불, 보상 조치 또는 기타 구제책을 요구할 수 있는 사유가 될 수 없습니다.  귀하와 일체의 제3자 상호 간의 행위는 오직 전적으로 해당 행위와 관련해 당사자인 제3자가 정한 이용 약관에 의해 규율됩니다.   본인의 Frieze 91 멤버십과 관련된 모든 제3자 이용 약관을 확인하고 준수하는 일은 전적으로 귀하의 책임입니다.  

FRIEZE가 제공하는 호텔/숙박/리조트 정보(등급, 사진, 호텔/숙박/리조트의 편의시설 목록, 부지 및 객실 설명을 포함하되 이에 국한되지 않음)이 있는 경우, 이는 각각의 공급업체 및 서비스 제공업체로부터 제공받은 것입니다. 이러한 호텔/숙박/리조트 정보는 일반적인 안내정보로서, FRIEZE는 그 정확성을 보장할 수 없습니다. 그러한 정보는 일반적인 안내 정보로 활용해야 하며, 해당 공급업체는 관련 등급과 호텔/숙박/리조트 정보의 최신 상태를 유지하기 위해 주기적으로 수정할 수 있습니다. 

2. 계약 성립, 사용자 이름 및 비밀번호 

귀하는 Frieze 91 멤버십 신청서를 frieze.com에서 온라인으로 제출할 수 있습니다.  접수된 신청서는 순차적으로 검토합니다.   신청서를 접수했다고 해서 수락이 보장되는 것은 아닙니다.   수락 여부는 귀하가 신청서를 제출한 후 영업일 기준 십(10)일 이내에 통지됩니다.   통지는 귀하가 신청서에 기재한 이메일, 전화번호 및/또는 우편 주소를 통해 이루어집니다.  귀하의 Frieze 91 멤버십이 활성 상태로 간주되려면 Frieze로부터 Frieze 91 프로그램에 대한 수락 통지를 수신한 후 영업일 기준 십오(15) 일 이내에 등록 절차 및 관련 금액의 지불을 완료하셔야 합니다. 

3. 멤버십 기간 및 자동갱신 

2021년 8월 31일 또는 그 이전에 Frieze 91 멤버십에 대한 유효한 신청서를 제출하는 경우, 귀하의 멤버십 계약은 신청서 수락 및 등록 절차(결제 포함)가 성공적으로 완료된 직후부터 시작되어 2022년 9월 30일까지 효력을 유지하며, 이 시점부터는 제6항(취소 및 환불)에 따라 종료되지 않는 한 별도의 종료 시점까지 매년 자동으로 갱신됩니다. 

2021년 9월 1일 또는 그 이후에 Frieze 91 멤버십에 대한 수락 가능한 신청서를 제출하는 경우, 귀하의 Frieze 91 멤버십 계약은 신청서 수락 및 등록 절차(결제 포함)가 성공적으로 완료된 직후부터 시작되어 양 계약당사자 중 일방에 의해 제6항(취소 및 환불)에 따라 종료되지 않는 한 효력을 유지하며 매년 자동으로 갱신됩니다. 

귀하의 멤버십이 시작되는 날짜와 첫 번째 자동갱신 날짜 사이의 기간, 그리고 그 이후에 발생하는 후속 자동 계약갱신 날짜 사이의 모든 개별 기간을 각각 “멤버십 연도”라고 지칭합니다.   

4. 지불 

귀하는 구매 당시에 서비스상에 광고되었던 가격에 해당하는 연간 멤버십의 구매 가격을 지불한다는 데 동의합니다.  가격에는 달리 명시되지 않는 한 적용 가능한 모든 판매세가 포함됩니다.    

제공되는 모든 특별 행사 또는 할인은 예고 없이 철회되거나 변경될 수 있습니다.

멤버십 요금은 귀하가 신청서 제출 시 선택했던 조건에 따라 전액 선불로, 또는 월 단위로 청구됩니다.  

연간 회원권을 구매하기 위해서는 귀하의 이름, 주소, 전화번호, 이메일 주소, 신용카드 정보 및 청구지 주소를 포함하되 이에 국한되지 않는 완전하고 정확한 개인정보를 제공해야 하는 경우가 발생할 수 있습니다.   당사가 그러한 정보를 수집하고 사용하는 방법은 당사의 개인정보 보호정책에 설명되어 있습니다.   귀하의 연간 회원권 구매 가능 여부는 귀하의 신용카드 발급사가 설정한 한도에 따라 결정됩니다.   자택 주소 변경을 포함하여 귀하의 신용카드 정보가 변경될 경우에는 즉시 당사에 알려주시기 바랍니다. 신용카드나 직불카드를 사용하여 멤버십을 구매함으로써, 귀하는 그러한 카드에 본 약관상 명시된 금액(또는 당사가 달리 통지한 금액)에 해당하는 요금을 연 1회 청구할 수 있는 권한을 당사에 부여합니다.   귀하는 본인이 본 계약에 따라 Frieze와 거래를 완료하는 데 사용되는 신용카드 또는 직불카드의 승인된 사용자임을 진술하고 보증합니다. 

일부 은행과 신용카드 회사는 국제 결제 시 수수료를 부과합니다. 귀하가 영국 이외의 지역에서 영국 신용카드 또는 직불카드로 예약금을 결제할 경우, 해당 은행은 결제 금액을 현지 통화로 변환하고 환전 수수료를 부과할 수 있습니다.

5. 멤버십 변경 

Frieze는 이유를 불문하고 언제든지 멤버십 및/또는 멤버십 요금을 철회하거나 변경할 수 있는 권리를 보유합니다. 

Frieze는 귀하에게 제공되는 Frieze 멤버십의 품질 개선을 위해, 또는 관련 법률, 규정 또는 Frieze 정책의 준수를 위해 귀하에 대한 통지나 책임 부담 없이 Frieze 91 멤버십(관련 기능, 콘텐츠, 혜택 또는 Frieze 91 멤버십과 관련된 기타 서비스를 포함하되 이에 국한되지 않음)을 변경할 수 있는 권리를 보유합니다. 

당사는 언제든지 멤버십 요금을 변경할 수 있는 권리를 보유합니다.  당사가 멤버십 및/또는 멤버십 요금의 중요한 조건을 변경할 경우, 당사는 귀하가 앞으로도 멤버십을 유지할지 여부를 결정할 수 있도록 최소 30일(또는 법률에서 달리 요구하는 통지 기간) 전에 해당 변경 사항을 안내합니다.   귀하가 멤버십 취소를 선택하실 경우, 기존 멤버십 기간이 종료될 때까지는 귀하의 멤버십(모든 혜택의 이용권 및 모든 지불 의무 포함)이 유지되며, 멤버십 기간이 만료되어도 요금이 다시 청구되지 않습니다.   당사는 일체의 변경사항이 있을 경우 Frieze에 등록된 귀하의 이메일 주소로 안내 이메일을 전송하고 관련 통지를 서비스상에 수시로 게시함으로써 귀하가 이를 인지하실 수 있도록 조치합니다. 본인의 이메일 주소가 변경된 경우 Frieze91@frieze.com으로 이메일을 보내 통보하는 것은 귀하의 책임입니다. 명확성을 기하기 위해, 어떠한 상황에서도 이 단락에 따른 멤버십 취소 시에는 일체의 환불을 실시하지 않는 것으로 합니다.  

6. 취소 및 환불 

유예기간 내 취소권 

귀하에게는 귀하의 멤버십 계약이 제2항(계약 성립, 사용자 이름 및 비밀번호)에 명시된 대로 확정되었다는 당사의 확인 이메일을 수신한 날로부터 7일 이내에 어떤 이유로든 귀하의 멤버십을 취소할 수 있는 법적인 권리가 있습니다.    

귀하는 당사가 이전 단락에서 언급된 7일간의 취소 가능 기간이 끝나기 전부터도 귀하의 Frieze 91 멤버십과 관련한 회원전용 콘텐츠 제공을 시작할 수 있다는 데 명시적으로 동의합니다. 또한 귀하는 본인의 사용자 이름과 비밀번호를 입력하는 순간 당사가 귀하의 Frieze 91 멤버십과 관련한 회원전용 콘텐츠 제공을 시작한 상태가 되므로, 귀하의 해당 시점부터 이전 단락에 기재된 바와 같이 유예기간 안에 멤버십 계약을 취소할 수 있는 법적 권리를 상실한다는 점을 인정합니다. 

귀하가 그러한 유예기간 안에 취소할 수 있는 본인의 법적 권리를 행사하려면 frieze.com에 명시된 취소 관련 절차를 완료해야 합니다.   귀하가 취소와 관련한 세부사항에 동의할 시, 해당 취소건이 성공적으로 처리되었음을 알리는 확인 이메일이 전송됩니다.   당사는 귀하의 멤버십 계약 취소 결정에 대해 통보받은 날로부터 늦어도 14일 이내에 해당 멤버십 요금 지불금 전액에 대한 환불을 실시합니다. 귀하가 명시적으로 달리 동의하지 않는 한, 당사는 최초 결제 시 사용된 결제 수단과 동일한 결제 수단을 통해 환불을 실시하며, 어떠한 경우에도 환불 과정에서 귀하에게 별도의 수수료는 발생하지 않습니다. 

Frieze의 취소 권리 

당사는 귀하가 정해진 기한 내에 결제하지 않거나 이용 약관(본 멤버십 약관 포함)에 따른 귀하의 의무를 위반하는 경우 전적인 자체 재량에 따라 귀하의 멤버십을 즉시 취소할 수 있습니다.  

귀하의 취소 권리 

귀하는 본인의 기존 멤버십 기간이 만료되기 전에도 Frieze가 규정한 취소 관련 절차를 완료함으로써 이유를 불문하고 언제든지 Frieze 91 멤버십을 종료할 수 있습니다.  귀하가 취소와 관련한 세부사항에 동의할 시, 해당 취소건이 성공적으로 처리되었음을 알리는 확인 이메일이 전송됩니다. 본 약관에 따른 귀하의 취소 요청이 처리된 이후로도 귀하의 Frieze 91 멤버십(모든 혜택의 이용권 및 모든 지불 의무 포함)은 현재의 멤버십 기간에 남아있는 기간만큼 유지됩니다. 현재 남아있는 멤버십 기간이 만료되면 요금이 다시 청구되지 않습니다.   다음 번 멤버십 기간에 대한 결제가 자동으로 청구되는 것을 막기 위해 멤버십 갱신 시점 이전에 귀하의 Frieze 91 멤버십을 취소하시기 바랍니다.   명확성을 기하기 위해, 어떠한 상황에서도 이 단락에 따른 멤버십 취소 시에는 일체의 환불을 실시하지 않는 것으로 합니다.   

7.   일반 조건 

완전한 합의   

본 Frieze 91 멤버십 약관은 Frieze 이용 약관 및 frieze 매거진 이용 약관과 함께 본 약관의 주제와 관련한 귀하와 Frieze 간의 완전한 합의를 구성하며, 모든 이전 버전의 약관을 취소하고 대체합니다.   귀하에 의한 본 약관의 수정은 권한 있는 Frieze 측 대리인이 서면으로 동의하지 않는 한 어떠한 경우에도 Frieze에게 구속력이 없습니다.   Frieze는 사전 통지 여부에 관계없이(법률이 허용 또는 요구하는 바에 따라) 자신의 전적인 재량으로 언제든지 본 약관을 해지 및/또는 변경할 수 있는 권리를 보유합니다.   귀하는 본 멤버십 약관 또는 이에 의거하여 부여받은 일체의 권리를 양도 등의 방식으로 이전할 수 없습니다.   또한 귀하는 본인의 멤버십이나 제3자 제품 또는 서비스를 이용할 때 해당될 수 있는 추가 이용 약관의 적용을 받을 수 있습니다. 

진술 및 보증 

본 멤버십 약관에 명시된 어떠한 내용도 제한함 없이, 귀하는 다음 사항을 귀하 자신과 관련하여, 그리고 귀하의 초청객(해당되는 경우)을 대리하여 진술하고 보증합니다. (a) 본인의 멤버십(멤버십 이벤트 참석 및/또는 Frieze와의 거래에 따라 제공되는 활동을 포함하되 이에 국한되지 않음)과 관계 있거나 이에 적용되는 법률, 조례 및/또는 규정을 위반하지 않을 것이라는 점, (b) 본인이 구매한 멤버십을 이용(모든 멤버십 이벤트 참석을 포함하되 이에 국한되지 않음)하는 과정에서 문란하거나 불쾌하거나 불법적이거나 저속하거나 모욕적이거나 위협적이거나 불편하거나 공격적인 행위, 또는 본 멤버십 약관이나 해당 제3자 약관, 조건, 규칙, 정책의 미준수에 해당한다고 Frieze 또는 제3자가 판단할 수 있는 일체의 행위(총칭하여 “거부 사유”)에 관여하지 않을 것이라는 점, (c) 본인이 Frieze 멤버십과 관련하여 Frieze와 일체의 거래를 진행하고, 멤버십 이벤트에 참석하고, 당사의 멤버십 약관을 수락한 결과 귀하가 부담하게 되는 모든 책임에 관한 법적 구속력이 있는 의무를 생성할 수 있을 만큼의 법적 연령으로서 관련 권한을 보유하고 있다는 점, (d) 본인이 Frieze와 일체의 거래를 완료하는 데 사용되는 신용카드 또는 직불카드의 승인된 사용자라는 점, (e) 본인이 Frieze 및/또는 해당 제3자가 정한 모든 약관, 조건, 정책 및 규칙을 항상 준수해야 한다는 점, (f) 본인이 Frieze와의 거래와 관련하여 필요한 모든 여권, 비자, 의료 증명서 및/또는 기타 허가를 취득했다는 점, (g) 본인이 해당 은행이나 신용카드 회사를 통해 Frieze 91 멤버십 구매건에 대한 환불을 시도하지 않을 것이라는 점. 

불가항력 

Frieze가 일체의 멤버십 이벤트 또는 기타 멤버십 혜택의 제공이 불가하거나 그러한 이벤트 또는 혜택(이와 관련한 일체의 계획 포함)에 영향을 미치거나 영향을 미칠 것으로 합리적 예상이 가능한 불가항력 사건으로 인해 (이벤트 시작 전이나 후에) 취소, 지연 또는 연기가 불가피하다고 전적인 자체 재량에 따라 결정하게 될 경우, Frieze는 이벤트와 관련된 의무가 면제되며, 이와 관련해서는 Frieze 91 회원에 대한 어떠한 책임이나 의무도 부담하지 않습니다. 명확성을 기하기 위해, 불가항력의 결과로서 제공되지 못한 멤버십 이벤트나 기타 멤버십 혜택을 사유로 Frieze 91 회원으로서 일체의 보상 조치나 위로금을 요구할 수 없으며, Frieze는 귀하가 일체의 제3자와 관련하여 이미 부담했거나 지출한 모든 금액을 비롯하여(이에 국한되지 않음) 취소된 해당 이벤트나 혜택의 이용을 목적으로 귀하가 이미 부담했거나 지출한 모든 금액(수수료, 비용 및 경비를 포함하되 이에 국한되지 않음)과 관련해서는 어떠한 법적 책임이나 의무도 부담하지 않는 것으로 합니다. Frieze가 일체의 이벤트 또는 혜택이 연기됨에 따라 일정 재조정을 확정하는 경우, 귀하는 본인의 재량에 따라 그러한 재조정된 이벤트에 참석하거나 관련 혜택을 누릴 수 있으며, Frieze는 해당 재조정의 결과로서 귀하에게 발생한 어떠한 추가 비용에 대해서도 책임을 지지 않습니다. 

“불가항력 사건”이란 일체의 법률, 규정 또는 명령, 천재지변, 지진, 폭우에 따른 홍수 가능성, 화재, 질병, 전염병 또는 팬데믹(H1N1 돼지독감, H1N5 조류독감, 코로나바이러스 또는 기타 유사한 바이러스를 포함하되 이에 국한되지 않음), 사고, 폭발, 인명 사고, 노사분규(예고 또는 실행된 직장폐쇄, 보이콧 또는 파업을 포함하되 이에 국한되지 않음), 정부 조치 또는 명령이나 일체의 관련 당국(일체의 스포츠 연맹 또는 이벤트 주최권자를 포함하되 이에 국한되지 않음)의 결정, 폭동, 내란, 전쟁 또는 무력 충돌, 테러 행위 또는 테러 위협, 대중교통 운행 지연, 또는 Frieze의 합리적 통제 범위를 벗어난 기타 사건 또는 사고를 의미합니다.  

위험 감수 

귀하는 귀하 및/또는 귀하의 초청객이 귀하의 멤버십 및 관련 활동(일체의 멤버십 이벤트 포함)의 이용/참여 과정에서 코로나19를 포함하되 이에 국한되지 않는 특정 전염병 및 질병(총칭하여 “질병”)에 노출될 수 있고, 이에 따라 신체 및 정신적 상해(사망 포함)를 포함하되 이에 국한되지 않는 방식으로 귀하 및/또는 다른 사람의 건강을 해칠 수 있고 경제적 손실이나 고충 및/또는 기타 기회(경제적, 평판 관련 기회 등을 포함) 상실을 야기할 수 있는 질병에 걸리거나 그 확진자가 될 가능성이 있음을 완전히 이해하고 인정하며 이에 동의합니다.   귀하는 본인과 본인의 초청객이 귀하의 멤버십 이용에 참여하고/하거나 멤버십 이벤트 등의 관련 활동에 참석하는 것이 자발적인 행위라는 점, 그리고 본인과 본인의 초청객이 멤버십(일체의 멤버십 이벤트 포함) 이용 시 질병(들)에 노출될 위험을 안내받았고 이를 충분히 고려 및 인지했으며 이로써 그러한 질병 관련 위험을 감수할 것임을 진술하고 보증합니다.   전술한 내용은 귀하 및/또는 귀하의 초청객이 멤버십(일체의 멤버십 이벤트 포함)을 이용함에 따라 노출될 수 있는 각종 위험 요소들을 빠짐없이 망라하고 있지 않으며, 귀하는 본인과 관련하여, 그리고 본인의 초청객을 대신하여, 귀하 및/또는 귀하의 초청객이 해당 멤버십(일체의 멤버십 이벤트 포함) 이용 과정에서 경험하거나 처하게 될 수 있는 이러한 모든 제반 위험(알려진 위험이든 아니든) 및 기타 위험 요소를 수용하고 감수할 것임을 자신의 의지와 선택에 따라 진술합니다. 

이로써 귀하는, 모든 제반 위험 요소를 충분히 인지하고 완전히 감수하는 상태에서, 본인과 관련하여, 그리고 본인과 관계 있는 개인 및 단체들(해당 시 귀하의 모든 초청객(이하 정의됨)을 포함하되 이에 국한되지 않음)(총칭하여 “권리포기 당사자”)을 대리하여, 권리포기 당사자는 일체의 멤버십 이벤트 참석 및 방문 등 멤버십과 관련한 귀하나 해당 초청객의 준비, 여행 또는 참여 과정에서 야기되거나 발생하거나 어떤 식으로든 이와 연관된 일체의 상해(사망 또는 장애 포함), 질병, 손해, 손실 또는 피해를 이유로 Frieze나 Frieze의 직원, 계약자, 대리인, 임원, 대표자(총칭하여 “Frieze 측 당사자”)를 상대로 소송이나 청구를 제기하지 않기로 한다는 데 동의하며, 이러한 동의는 취소할 수 없습니다. Frieze는 이러한 권리포기 또는 미래의 각종 질병이나 제반 피해(알려진 종류이든 아니든)와 관련한 추가 서류 또는 기타 양식(서명된 권리포기서를 포함하되 이에 국한되지 않음)을, 본 약관에 따라 제공되는 일체의 혜택에 대한 조건으로서 멤버십 기간 중 언제든지 귀하나 귀하의 초청객에게 요구할 수 있는 권리를 보유합니다. 귀하 및/또는 귀하의 초청객이 그러한 추가 서류 또는 기타 양식을 제공하지 않음에 따라 Frieze가 본 약관에 규정된 멤버십 혜택의 제공을 이행하지 않는 것은 Frieze 측의 약관 위반으로 간주되지 않으며, 귀하는 이를 사유로 어떠한 위로금이나 위자료도 요구할 수 없습니다. 

면책 

귀하는 다음 사항으로부터 Frieze 및 그 모회사, 자회사 및 계열사, 그리고 그 각각의 임원, 대리인, 이사, 대표자, 계약자, 직원, 후원자 및 기타 인력(총칭하여 “피면책 당사자”)을 방어 및 면책하고 해를 입지 않도록 하는 데 동의합니다. (a) 귀하와 Frieze와의 거래 및/또는 웹사이트, 플랫폼, 기타 시설 등 멤버십에 의해 또는 멤버십과 관련하여 제공되는 일체의 요소에 대한 귀하의 사용, (b) 본 약관상의 모든 진술, 보증, 조건, 서약, 인정 및 동의를 포함하되 이에 국한되지 않는 본 멤버십 약관에 대한 귀하의 위반이나 불이행, 또는 위반이나 불이행 의심사례, (c) 귀하에 의한 일체의 거부 사유나 기타 형태의 작위 또는 부작위를 포함하되 이에 국한되지 않는 귀하의 멤버십 이용이나 일체의 멤버십 이벤트 참석, (d) 귀하의 초청객(이하 정의됨)으로 인해 발생하거나 이와 달리 연관된 모든 법적 책임, 청구, 손해배상, 소송 비용 및 경비(변호사 수임료 포함). 

정보 공유 

본 문서에 명시된 내용을 제한하지 않고, 멤버십을 수락함으로써 귀하는 귀하의 멤버십이 Frieze 개인정보 보호정책의 적용을 받는다는 것을 인정하고 이에 동의합니다. 개인정보 보호정책에 명시된 어떠한 내용도 제한함이 없이, 귀하는 Frieze가 귀하의 개인 식별 정보(귀하의 이름, 주소, 이메일 주소 포함)를 수집하여, 귀하의 동의가 있거나 당사의 합법적인 목적을 위한 경우, Frieze의 모회사, 자회사, 회원사 및 기타 계열사, 그리고 당사 및/또는 제3자의 사업 운영과 관련하여 다른 제3자(예: 협력사 및 후원사)와 이를 공유할 수 있음을 인정하고 이에 동의합니다. 당사가 그러한 정보를 수집하고 공유하는 목적의 예는 다음과 같습니다. 

  1. 결제 처리 및 승인, 

  1. 사기 방지 및 신용 관련 위험관리, 

  1. 제품 및 서비스 맞춤화, 

  1. 주문 이행, 

  1. 배송, 

  1. 각종 행사를 위한 마케팅 자료 및 판촉물 배포, 

준거법 

귀하가 거주하는 지역의 관련법에 위배되지 않는 한, 다음이 적용됩니다. 

귀하가 Frieze 91 멤버십 신청서에 기재한 주소가 유럽연합, 영국 또는 유럽 내 기타 국가가 아닌 다른 지역에 해당하는 경우, 본 멤버십 약관 및/또는 귀하의 서비스 및/또는 Frieze 멤버십 이용과 관련된 모든 소송의 준거법은 뉴욕 주 법률과 관할 미국 연방법입니다.   모든 지역의 준거법 선택 규정 및 국제물품매매계약에 관한 UN협약(United Nations Convention on Contracts for the International Sale of Goods)은 본 멤버십 약관에 따른 일체의 분쟁에는 적용되지 않습니다.   귀하와 Frieze 양측은 미국 뉴욕주 뉴욕카운티에 소재한 법원의 독점적인 대인 관할권에 복종한다는 데 동의합니다. 

귀하가 Frieze 91 멤버십 신청서에 기재한 주소가 유럽연합, 영국 또는 유럽 내 기타 국가인 경우, 본 멤버십 약관 및/또는 귀하의 서비스 및/또는 Frieze 멤버십 이용과 관련된 모든 소송의 준거법은 잉글랜드와 웨일즈 법입니다.   모든 지역의 준거법 선택 규정 및 국제물품매매계약에 관한 UN협약은 본 멤버십 약관에 따른 일체의 분쟁에는 적용되지 않습니다.   귀하와 Frieze 양측은 잉글랜드 및 웨일즈 법원의 독점적인 관할권에 복종한다는 데 동의합니다. 

효력 유지 

그 성격상 존속하도록 되어 있는 본 멤버십 약관에 따른 각종 권리와 의무는 본 약관의 해지 또는 만료 이후로도 완전한 효력을 유지합니다. 

포기 및 부분 무효 

본 멤버십 약관에 따른 여하한 권리의 행사를 명시적으로 포기하거나 동 권리를 즉시 행사하지 않는 경우, 이러한 포기 및 불행사는 계속적인 포기 의사나 불행사 의사로 간주할 수 없습니다. 본 멤버십 약관의 일부 조항이 정부의 법률이나 규정, 또는 일체의 법원이나 중재인에 의해 효력을 상실하는 경우, 귀하와 Frieze 양측은 해당 조항이 원래의 비즈니스 목적 달성이 가능한 새로운 조항으로 대체되고 본 약관의 나머지 조항들은 완전한 효력을 유지한다는 데 동의합니다. 

충돌 

본 멤버십 약관 및 귀하와 Frieze 사이의 기타 계약 사이에 충돌이 발생하는 경우 어떤 조건이 적용되는지는 Frieze의 재량에 따라 결정됩니다. 

번역 

귀하와 Frieze와의 관계에 대한 준거 문서는 본 멤버십 약관의 영문본이며, 다른 언어로 된 일체의 번역본 약관은 Frieze에게 구속력이 없습니다. 

초청객 정책 

귀하의 Frieze 91 멤버십에 해당 멤버십 혜택을 초청객 등의 제3자(“초청객”)에게 확대 제공할 수 있는 옵션이 포함된 경우, 귀하는 이로써 초청객의 과실 또는 비행, 초청객으로 인해 야기되었거나 다른 방식으로 그들의 행동과 관련하여 발생하는 모든 손해 또는 상해, 그리고 Frieze 측에서 정한 일체의 이용 약관에 대한 위반 또는 비준수를 포함하나 이에 국한되지 않는, 귀하의 초청객이 해당 멤버십 혜택을 향유하는 과정에서 일어난 모든 행동 및 활동은 전적으로 기록상의 Frieze 91 회원에 해당하는 귀하의 책임임을 인정하고 이에 동의합니다. 멤버십 혜택의 향유 시 적용될 수 있는 본 멤버십 약관을 포함하되 이에 국한되지 않는 모든 조건을 귀하의 초청객에게 알리는 것은 전적으로 귀하의 책임입니다. 명확성을 기하기 위해, 귀하의 Frieze 91 멤버십에 따라 제공된 귀하의 멤버십 혜택을 확대 적용하는 옵션은 오직 Frieze가 확대가 가능하다고 명시적이고 분명하게 지시한 일부 멤버십 혜택에만 적용되며, 또한 귀하가 해당하는 일체의 멤버십 혜택을 확대 적용하려면 귀하는 이와 관련하여 Frieze가 정한 모든 조건을 준수해야 합니다.

Frieze는 예술에 대한 사랑을 통해 사람들을 하나로 만듭니다. 당사는 오직 회사 전체를 다잡으면서 Frieze가 하는 모든 일에서 다양성, 공정함 및 포용성의 기준을 가지고 이끌어갈 때만 이를 달성할 수 있다는 점을 이해하고 있습니다.   당사는 문화를 주도하는 글로벌 기업으로서 다양한 배경의 예술가, 작가 및 문화 종사자들과 함께 인종, 성 정체성, 성적 취향 및 장애를 비롯한 다양한 측면에서의 차별 금지를 실천하기 위해 최선을 다하고 있습니다.   예술 및 문화 산업에 만연한 체계적인 불평등과 차별을 해결하기 위해서는 해야 할 일이 여전히 많으며, 당사는 사내에서는 물론 예술계 전반에서 이러한 발전을 이루어나가기 위해 노력합니다.
